How much memory do you have? I think it is memory related.

256 MB

Yes, 256BM is very tight

and to be a bit more constructive

http://www.virtualmin.com/documentation/system/low-memory

Ok and How Much memory I need to make the installation Work ?

The document/link I posted indicates that it might be possible to install virtualmin with 256MB if you follow the steps listed.

I personally never had any issue installing virtualmin on a 512MB Centos 5.5 system. However 512MB might be still tight if you plan to run apache, BIND, Dovecot, mysql, spamass., clamav, proftpd and postfix. Especially if you are on OpenVZ vps, because there is not swap space and services will crash in low memory situations.

But 512MB might be still ok for low traffic sites.
