I am getting ready to build separate WWW & POP3/IMAP servers each using UBUNTU 6.06 OS.
I need to allow clients to make POP3/IMAP and WWW changes from witin one GUI, is this a possible function utilizing VM?

Yes and no. It’s possible, but probably not as automatic as one might like. Webmin supports quite a bit of remote functionality, including remote password changes and such. But Virtualmin doesn’t currently take advantage of those remote features for mail.
There’s a few documentation pieces about what can easily be chopped off of your primary server an placed on another.
